This Seatd Refund & Reservation Guarantee Policy (the "Policy") applies to eligible prepaid reservations processed through Seatd. It is intended to explain the Guest refund outcome. The contractual allocation of responsibility between Seatd LLC and a participating Restaurant is addressed separately in the applicable Restaurant agreement and Seatd Terms of Service.
1. Purchased Seating Guarantee
When a Guest purchases an eligible Seatd reservation, the specific Restaurant-selected seating guarantee presented at purchase applies. The guarantee may be ten (10), fifteen (15), or twenty (20) minutes and may not exceed twenty (20) minutes. The exact guaranteed seating deadline presented at purchase governs and is locked for that reservation. When the Guest timely checks in and is ready to be seated at the scheduled reservation time, the participating Restaurant is expected to seat the Guest by that deadline.
If the Restaurant fails to seat the Guest by the exact purchased guarantee deadline for a Restaurant-caused reason, the Guest is eligible for a full refund of the qualifying Seatd access purchase. The Restaurant bears the economic responsibility for the Restaurant-caused refund under the Seatd Terms of Service. Seatd also assesses the Restaurant an additional $2 missed-guarantee charge. The $2 missed-guarantee charge is separate from the Guest refund.
2. Guest Does Not Need to Allocate Responsibility
A Guest entitled to a qualifying refund is not required to determine whether Seatd or the Restaurant ultimately bears the economic cost of that refund. Seatd and the Restaurant will resolve the allocation between them under their applicable agreements and payment-provider rules.
3. Guest Advance Cancellation
If a Guest cancels an eligible paid Seatd reservation at least twenty-four (24) hours before the scheduled reservation time, the Guest is eligible for a full refund of the qualifying Seatd access purchase. For this ordinary advance cancellation, the Restaurant returns or relinquishes its applicable sixty percent (60%) transaction share and Seatd returns or relinquishes its applicable forty percent (40%) transaction share so the Guest receives the full qualifying Seatd access amount. Processing fees, taxes, provider mechanics, and legally required adjustments may be handled according to applicable payment-processor rules and law.
If a Guest cancels less than twenty-four (24) hours before the scheduled reservation time, the standard twenty-four-hour advance-cancellation refund does not apply unless another qualifying refund condition applies, applicable law requires otherwise, or the specific reservation terms expressly provide otherwise.
4. Restaurant-Caused Failure
If the qualifying refund results from the Restaurant's inability to timely honor the reservation, Restaurant cancellation, closure, overbooking, lack of operational capacity, or another Restaurant-caused service failure, the Guest will receive the applicable refund and the Restaurant will bear the economic responsibility for funding the full qualifying refund under its agreement with Seatd.
Seatd may retain its earned platform share where the Seatd platform performed correctly and the failure was caused by Restaurant operations. In that circumstance, the Restaurant remains responsible for reimbursing or funding any additional amount necessary so that the Guest receives the full refund owed.
5. Seatd-Caused Failure
If a qualifying refund results directly and solely from a verified Seatd platform or payment-system error, Seatd will refund or surrender Seatd's applicable economic share, and the Restaurant will refund or return the Restaurant's applicable economic share so that the Guest receives the full refund owed.
Neither Seatd nor the Restaurant is expected to absorb the other party's economic share when the qualifying failure is solely attributable to the other party, except where applicable law or payment-provider rules require otherwise.
6. Guest-Caused Circumstances
The purchased seating guarantee does not apply when the Guest is not ready to be seated at the reservation time because of late arrival, an incomplete party, an unapproved material change in party size, refusal of a reasonably suitable available table, disruptive or unsafe conduct, or another circumstance primarily attributable to the Guest.
Guest cancellations and no-shows may be subject to the cancellation terms disclosed when the reservation is made.
7. Restaurant Cancellation
If a Restaurant cancels an eligible prepaid reservation and the Guest did not materially breach the reservation terms, the Guest will generally receive a refund of the amount paid for that reservation, subject to applicable law and any clearly disclosed exceptional circumstances. The Restaurant will bear the economic responsibility for Restaurant-caused cancellations under its agreement with Seatd.
8. Extraordinary Events
Weather emergencies, government orders, utility failures, natural disasters, public-safety events, telecommunications failures, or other events outside the reasonable control of both Seatd and the Restaurant may be evaluated case by case. Nothing in this section limits any refund or consumer right that applicable law requires.
9. Refund Method and Timing
Approved refunds will ordinarily be returned to the original payment method. The time required for the refund to appear may depend on the payment processor, card network, bank, or financial institution.
Seatd may request reasonable information necessary to identify the reservation and verify the circumstances giving rise to a refund request.
10. Restaurant Software Subscription Is Separate
The Restaurant's Seatd software subscription is separate from Guest reservation payments. The standard Restaurant subscription provides the first monthly billing period at no subscription charge and then continues at $100 per Restaurant per month, plus applicable taxes, until canceled, unless a different written agreement applies.
Except where required by law or in the event of a verified billing error, a monthly subscription payment already charged is non-refundable and is not prorated merely because the Restaurant stops using Seatd during the billing period. Cancellation prevents future renewals when completed before the next billing date.
11. Non-Waivable Rights
Nothing in this Policy eliminates or limits a right or remedy that applicable consumer law does not permit Seatd or a Restaurant to waive.
